VOB Fundraising, Representation & IP Use Policy
The Veteran-Owned Business (VOB) Network is built on a foundation of integrity, community trust, and a shared commitment to military entrepreneurs. To safeguard our mission and the reputation of our members, this Fundraising, Representation & IP Use Policy outlines the standards for how our brand and name may be used. This policy ensures that all affiliations, solicitations, and intellectual property uses are authorized and transparent, protecting the VOB community from unauthorized representation and maintaining the high standards of our network.
The purpose of this Policy is to protect the integrity, reputation, intellectual property, and community trust of the Veteran-Owned Business (VOB) Network (“VOB”). This Policy establishes clear boundaries regarding who may represent VOB, solicit funds on its behalf, or use VOB intellectual property, and under what conditions.
This Policy is intended to: - Prevent unauthorized representation or implied affiliation with VOB; - Protect members, donors, partners, and the public from confusion or deception; - Preserve VOB’s intellectual property, goodwill, and brand value; and - Provide clear governance-level enforcement mechanisms in the event of misuse.
This Policy is preventive in nature and is not tied to any specific incident, allegation, or individual.
2. Scope
This Policy applies to all individuals and entities, including but not limited to: - Members and former members of VOB; - Contractors, partners, collaborators, and vendors; - Event organizers, speakers, promoters, and affiliates; and - Any third party who references, invokes, or uses VOB’s name, brand, programs, or reputation.
3. No Authority; No Implied Agency
Unless expressly authorized in writing by an officer or other duly authorized representative of VOB: - No person or entity may represent or hold themselves out as acting on behalf of VOB; - No person or entity may claim, imply, or suggest that they are an agent, representative, partner, or spokesperson of VOB; and - No relationship, participation, membership, silence, or prior association shall be construed as authorization.
Any authorization granted under this Policy: - Must be explicit and in writing; - May be limited in scope, purpose, geography, and duration; - Shall not create agency, partnership, or fiduciary authority unless expressly stated; and - May be revoked at any time in VOB’s sole discretion.
4. Fundraising and Solicitation Restrictions
Without prior written authorization from VOB: - No person or entity may solicit, collect, or receive funds, donations, fees, or other consideration purportedly for the benefit of VOB; - No person or entity may state or imply that funds raised will be contributed to, shared with, or endorsed by VOB; and - No person or entity may organize or promote fundraising activities using VOB’s name, programs, or reputation.
All authorized fundraising activities must comply with any additional terms, reporting requirements, oversight conditions, or limitations imposed by VOB.
5. Prohibition on False or Misleading Financial Representations
No person or entity may: - Make false, misleading, or unverifiable statements regarding financial contributions, donations, sponsorships, or support provided to VOB; - Exaggerate, fabricate, or mischaracterize the nature, scope, or amount of any relationship or financial support involving VOB; or - Use alleged financial support of VOB as a means to induce trust, participation, or payment from others.
6. Intellectual Property and Brand Use
VOB retains all rights, title, and interest in its intellectual property, including but not limited to its name, logos, trademarks, service marks, programs, content, community identity, and goodwill (collectively, the “VOB IP”).
Without express written permission: - VOB IP may not be used in a manner that implies endorsement, affiliation, sponsorship, or approval by VOB; - VOB IP may not be used for personal, commercial, or promotional purposes; and - VOB IP may not be used in a way that creates confusion, dilutes the brand, or exploits VOB’s reputation.
7. Enforcement and Remedies
VOB reserves the right to take appropriate action to enforce this Policy, including but not limited to: - Demanding immediate cessation of unauthorized conduct; - Requiring corrective disclosures or retractions; - Revoking membership, access, or participation privileges; - Seeking injunctive or equitable relief, as permitted by law, without the necessity of proving monetary damages; and - Pursuing all other remedies available at law or in equity.
8. Attorneys’ Fees and Costs
In any action or proceeding arising out of or relating to a violation of this Policy, the prevailing party shall be entitled to recover reasonable attorneys’ fees, court costs, and related expenses, to the fullest extent permitted under applicable Pennsylvania law.
9. Severability
If any provision of this Policy is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
This Policy shall be interpreted in a manner consistent with VOB’s charitable mission and the fiduciary duties of its Board of Directors.
This Policy shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles.
This Policy shall become effective upon approval by the VOB Board of Directors. VOB reserves the right to amend or update this Policy at any time.
This Policy is a governance framework and does not replace or supersede any written agreement, license, or contract executed by VOB, which shall control in the event of any conflict.
